1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you") and HalaFlow ("Company," "we," "us," or "our") concerning your access to and use of the HalaFlow platform and services.

By accessing or using HalaFlow, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

HalaFlow is a WhatsApp-first business management platform that provides:

  • Customer conversation management (inbox)
  • Booking and appointment scheduling
  • Contact and customer relationship management (CRM)
  • Message templates and automated responses
  • Marketing campaigns and broadcasts
  • Business automation workflows
  • Analytics and reporting

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If registering on behalf of an organization, you represent that you have the authority to bind that organization.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods.

4. Acceptable Use Policy

You agree NOT to use HalaFlow to:

  • Send spam, unsolicited messages, or bulk communications without recipient consent
  • Violate WhatsApp's Business Policy or Commerce Policy
  • Harass, threaten, or abuse other users or their customers
  • Distribute malware, viruses, or harmful code
  • Engage in fraudulent, deceptive, or illegal activities
  • Infringe on intellectual property rights
  • Collect personal data without proper consent
  • Impersonate any person or entity
  • Interfere with the platform's operation or security
  • Resell or redistribute our Service without authorization
  • Use automated means to access the Service (except approved APIs)

Violation of this policy may result in immediate account suspension or termination.

5. WhatsApp Business Policy Compliance

As a user of HalaFlow's WhatsApp integration, you must comply with:

  • Meta's WhatsApp Business Policy
  • WhatsApp Commerce Policy
  • WhatsApp Business Messaging Policy
  • All applicable Meta terms and guidelines

You are solely responsible for ensuring your use of WhatsApp through HalaFlow complies with these policies. We are not responsible for any actions taken by Meta/WhatsApp against your account due to policy violations.

6. Subscription and Payment

6.1 Plans and Pricing

HalaFlow offers various subscription plans with different features and pricing. Current pricing is displayed on our website. We reserve the right to modify pricing with 30 days' notice.

6.2 Free Trial

New accounts may receive a free trial period. At the end of the trial, you must subscribe to continue using the Service. We may modify or discontinue trial offers at any time.

6.3 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All payments are processed securely through Stripe
  • Prices are in AED unless otherwise specified
  • You authorize us to charge your payment method automatically

6.4 Refunds

Subscription fees are generally non-refundable. We may provide refunds at our discretion for exceptional circumstances. Contact support within 14 days of purchase for refund requests.

6.5 Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period. No partial refunds are provided for unused time.

7. Intellectual Property

7.1 Our Property

HalaFlow, including its design, features, code, content, and branding, is owned by us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

7.2 Your Content

You retain ownership of content you create or upload to HalaFlow. By using our Service, you grant us a limited license to host, store, and transmit your content as necessary to provide the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

8. Data and Privacy

Your use of HalaFlow is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

You are responsible for:

  • Obtaining proper consent from your customers before collecting their data
  • Complying with applicable data protection laws (GDPR, etc.)
  • Ensuring your data practices comply with WhatsApp policies

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALAFLOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless HalaFlow and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit or transmit through the Service

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with or without notice. We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

13. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved exclusively in the courts of Dubai, UAE. Before initiating legal proceedings, you agree to attempt resolution through our support channels.

14. General Provisions

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Entire Agreement: These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement.
